Annual obligations by jurisdiction

Annual maintenance is the set of actions without which a company loses good standing: fees, returns to the agent or registry, tax forms and beneficial ownership updates. They apply to a company with no turnover too. A missed deadline means penalties, questions from the bank and, in some countries, removal from the register.

What is due and what lateness costs

Jurisdiction Every year If late
BVI registry fee; annual financial return to the agent within 9 months after year end; beneficial owner, director and member updates via VIRRGIN 10% of the fee in the first two months, 50% after that; the agent reports a missing return to the Registrar
Cayman Islands annual return to the General Registry with a declaration on operating outside the islands; Economic Substance Act duties if the activity is in scope; current beneficial ownership data per registry and DITC rules
Panama accounting records for the previous year to the resident agent by 30 April; government fees DGI penalty under Article 7 of Law 52: 5,000 to 1,000,000 balboas
Nevis renewal fee USD 300 (IBC and LLC); records available to the agent and FSRC USD 200 in the first six months, USD 400 after
UK Ltd confirmation statement every 12 months (£50 online, within 14 days); accounts: first within 21 months of incorporation, then 9 months after year end; Corporation Tax within 9 months and 1 day; tax return within 12 months Companies House and HMRC penalties
Hong Kong NAR1 within 42 days after the incorporation anniversary (HK$105); IRD filings separately NAR1 fee rises to HK$870–3,480
Singapore annual return to ACRA via BizFile (S$60) with AGM details; IRAS filings separately ACRA and IRAS enforcement
Delaware LLC: $400 tax by 1 June; corporation: annual report and franchise tax by 1 March $200 plus 1.5% a month
Wyoming annual report and licence tax from $60, due on the first day of the formation month administrative dissolution after 60 days

A foreign owner of a single-member US LLC also files Form 5472 with a pro forma Form 1120. Not filing costs $25,000.

Zero revenue still files

A dormant BVI company files its annual financial return with the agent; only categories named in the law, such as listed or regulated companies, are exempt. A UK Ltd with no turnover files a confirmation statement and accounts. A Hong Kong private company files NAR1 every year.

The BVI FSC announced on 15 October 2026 a new, more detailed return form: 2026 returns use it, and agents accept them from September 2027.

Set up the calendar on day one

Enter the financial year, agent and address renewals, corporate filings, tax forms, beneficial ownership updates, licences and director details into one calendar. Give each line an owner, a deadline and an internal deadline a month earlier. Keep confirmations and agent letters in one corporate folder, and keep your own copies and logins so the company never depends on a single intermediary.

Why it matters: in one hypothetical case a BVI holding company sat untouched for two years. When a buyer for a stake asked for a certificate of good standing and proof of continuous compliance, the owner had to pay fees with penalties and file the missed returns before signing.
